Our real estate attorneys have extensive experience in many aspects of law affecting the ownership and use of real property, including finance, leasing, acquisitions and dispositions, and development, as well as land use and other regulatory matters, including environmental reviews.

Real Estate Finance

Our real estate attorneys have represented commercial banks, developers and investment funds in connection with a wide range of transactions involving mortgage loans and mezzanine loans as well as revolving and term credit facilities. In addition, we have substantial experience in advising clients with respect to workouts, renegotiations and foreclosures. Our experience includes assisting clients with acquisition financings, credit enhancement in connection with bond financings, subscription financings and leasehold financings. We take pride in the extensive experience our attorneys have in drafting real estate and real estate financing documents, including mortgage loan agreements, mezzanine loan agreements, intercreditor agreements, credit agreements, participation agreements, and purchase and sale agreements.

Real Estate Leasing

Our attorneys have represented both landlords and tenants in all types of commercial and residential real estate leasing transactions, including office and retail space leases, subleases and ground leases. Our experience includes drafting and negotiating leases as well as advising regional and national clients with respect to key elements of lease transactions, including term sheets, base and additional rent issues, rent adjustments, tenant concessions, options to expand and renew, tenant improvements, assignment and subletting rights, signage, telecommunications and other building services.

Real Estate Acquisitions and Dispositions

Our attorneys have handled acquisitions and dispositions of all types of real estate assets. We have experience with the purchase and sale of real estate assets related to a wide variety of uses, including office, commercial, retail, hospitality, residential and specialized uses. In addition to drafting and negotiating the necessary documents, we are experienced in advising our clients with respect to all of the documentation related to real estate acquisitions and dispositions, including purchase and sale agreements, joint venture documents (including limited liability company agreements, partnership agreements and REIT organizational documents) and financing documents.

Real Estate Development

Our real estate lawyers have advised in the development of planned and mixed use projects from the planning stages, to the regulatory and approval process, to site acquisition and construction. Our services include reviewing developers’ plans, drafting and revising developers’ purchase and sale agreements, handling land use matters, counseling on condominium and cooperative law and offering documents, designing debt and equity financing structures that comply with local real estate laws and tax laws, and managing administrative proceedings.

Land Use and Regulatory Matters

Donald H. Elliott, Counsel in the real estate group, served as Chairman of the New York City Planning Commission for six years. He was responsible for many important and far-reaching zoning innovations that have influenced land use regulation in New York City and across the country. He was an innovative leader in exploiting the planning potential of development rights transfers, and he is widely recognized as a realistic and creative thinker in land use regulation who has repeatedly in public and private situations crafted land use regulations to achieve desirable private investment while protecting public values. Since leaving public service, he has represented clients before the NYC Planning Commission, the NYC Landmarks Preservation Commission and the NYC Board of Standards and Appeals. He has also been the attorney and adviser on a number of large-scale projects around the country, including projects in New Orleans, Pittsburgh, and Santa Fe, NM.
