Business Entity Formation and Organization

We assist our clients in corporate, limited liability company and partnership formations by counseling on the best choice of entity to achieve the client’s goals from both a liability and tax perspective. We prepare and file the formation documents and can assist with related federal and state regulatory filings. In addition, we assist our clients by counseling on “best practices” for post formation corporate governance and operational procedures. We work with our clients to arrive at reasonable fee packages for clients seeking assistance on standard business entity formation and organization matters.

Governance

We assist our clients in governance matters and fiduciary duties in connection with all types of business entities. We counsel on matters ranging from the operation of boards of directors and other management bodies, compliance with Sarbanes-Oxley and other federal securities laws, compliance with state governance rules, proxy contests, director and officer indemnification, shareholder rights and business combinations.

MWBE Structuring and Certification

A core mission of the firm is to support the growth of small businesses in urban areas for the greater good of the communities that they serve. We assist Minority and Women-owned Business Enterprises (“MWBE”) and “socially disadvantaged businesses” in pursuing opportunities with, and accessing programs made available to, such entities by federal, state, municipal and private entities. We use our expertise in corporate formation and organization, financing, joint venture and our experience in governance matters to help these businesses access programs designed to incentivize investments in, and the growth of, MWBE firms. We assist our MWBE clients in obtaining certification through major state and private certification programs and through other certification bodies. We counsel our clients in structuring ownership arrangements and control rights in a manner that conforms to the requirements of applicable certifying bodies.
